1. Agreement to these Terms
NativeCut, Inc., a Delaware corporation with its address at 2810 N Church Street, STE 90517, Wilmington, DE 19802, United States ("NativeCut," "we," "us," or "our"), provides the video localization platform at nativecut.io and related services that expressly refer to these Terms (the "Services"). You can contact us at support@nativecut.io.
By accepting these Terms when registering or purchasing Services, you agree to be bound by them. If you act for a company or other organization, you confirm your authority to enter into this agreement on its behalf. "You" means that organization where applicable. If you do not agree, do not register or purchase Services.
Our Privacy Policy explains how we handle personal information. Acknowledging it does not give us unrestricted permission to use your content or replace any consent required for a particular activity.
A separate agreement signed by you and NativeCut takes precedence over these Terms to the extent of a conflict concerning the Services covered by that agreement. An applicable Data Processing Agreement ("DPA") takes precedence for processing personal data on your behalf, subject to any mandatory transfer clauses. A separately agreed Service Level Agreement ("SLA") controls its covered availability and support commitments. Purchasing credits alone does not create an SLA.
Where a Data Processing Agreement is required for your use of the Services, contact support@nativecut.io to arrange it before submitting the relevant personal data. Standard support is available at support@nativecut.io.
2. Eligibility and registration
You must be at least 18 years old and have legal capacity to enter into these Terms. You must provide accurate registration and billing information and update it when necessary.
Keep your credentials secure and notify us promptly of suspected unauthorized account access. You are responsible for activities you authorize through your account. You may not sell or transfer your account without our written consent.
3. Our Services
NativeCut uses AI to localize video, including translating or replacing on-screen text, generating translated subtitles, and translating or replacing spoken audio through dubbing. Available functions, supported formats, languages, and processing limits are described in the Services and may vary by feature or offer.
You may use the Services for personal or business purposes, including paid client projects. You must have the rights and permissions required for the materials and uses involved. The Services are not professional legal, medical, financial, or other advisory services.
Do not submit materials whose processing requires special regulatory, security, or contractual commitments that we have not expressly agreed to provide.
4. NativeCut intellectual property and access rights
NativeCut and its licensors retain ownership of the platform, software, interfaces, underlying technology, documentation, branding, and other materials we provide, excluding Customer Content and Outputs as addressed below.
Subject to these Terms, usage limits, and applicable payment, we grant you a limited, non-exclusive, non-transferable right to access the Services. This permits using the Services for client work but does not permit selling platform access, sublicensing our software, or operating an unauthorized competing access service.
You may not copy, distribute, modify, or commercially exploit our software or branding beyond the rights expressly granted or rights that applicable law prevents us from restricting. No ownership of our models or underlying technology passes to you.
5. Customer Content and Outputs
"Customer Content" means videos, audio, images, text, prompts, instructions, and other materials you submit for processing. "Outputs" means the results the Services generate for you.
You retain your rights in Customer Content. As between you and NativeCut, you own Outputs to the extent ownership rights exist under applicable law. To the extent NativeCut acquires transferable rights in your Outputs, we assign those rights to you. This does not transfer our underlying technology or rights belonging to third parties.
You may publish, distribute, monetize, and use Outputs in commercial projects, including work for clients, provided you have the necessary underlying rights and comply with applicable law. We do not guarantee that Outputs are unique, eligible for copyright protection, or free of third-party rights.
You grant NativeCut a worldwide, non-exclusive license to store, reproduce, transmit, translate, adapt, and otherwise process Customer Content and Outputs to carry out your requests, deliver results, provide related support, and operate and secure the Services. We may engage service providers to perform those activities on our behalf. This permission is limited to the stated purposes and applicable retention periods and does not authorize selling your films or using them in advertising.
You confirm that you have all permissions necessary for this processing, including applicable copyright, performer, voice, likeness, privacy, and client permissions. You must not submit another person's confidential material without authority or use dubbing or other functions for unlawful impersonation or deception.
6. Content handling and permitted use
Materials uploaded for processing are not public posts. We will not publish Customer Content or Outputs, or use them or your name or logo in marketing or case studies, without your separate permission specifying the approved use.
NativeCut does not use Customer Content or Outputs to train AI models. Our team may inspect material relevant to your support request to investigate and resolve it. External providers process material needed to operate the Services, as described in the applicable privacy and processing documentation.
We may improve the Services using technical performance information, feedback, and troubleshooting associated with your support request. This does not authorize unrelated reuse of the audiovisual substance of Customer Content or Outputs, model training, or marketing use.
We will exercise reasonable care to protect non-public Customer Content and Outputs and limit access to authorized personnel and providers who need it for permitted processing, security, or legal obligations and are bound by confidentiality duties. This does not promise that a security incident can never occur. Confidentiality duties do not cover information independently developed, already lawfully known without restriction, lawfully received without restriction, or made public without a breach of duty. Legally required disclosure is permitted, with notice where lawful and practicable.
No special data residency, security certification, or dedicated environment is included unless expressly agreed in writing. This does not displace obligations imposed by law or an applicable DPA.
7. Purchases and payment
You may purchase credits and redeem them for processing. The purchase screen identifies the price, currency, credit quantity, applicable taxes, and any offer-specific restrictions before payment. You authorize the charges for purchases you approve and confirm that you are entitled to use the payment method supplied.
Unused purchased credits remain associated with your account, subject to the credit rules disclosed when purchased. Credits are not a bank deposit or investment and may not be resold or transferred without permission.
Any expiry date or restriction on purchased credits must be disclosed before purchase. Promotional credits may have separate conditions disclosed with the promotion. We will not impose a new expiry date retroactively on an existing purchased balance.
The applicable credit charge or calculation method must be shown before you authorize processing. We may reserve credits when you submit a request and deduct the applicable amount for the processing supplied. If processing fails, is incorrectly charged, or produces a defective result, contact support@nativecut.io. We will investigate and provide any correction, repeat performance, credit restoration, or refund due under the purchase terms or applicable law. This does not promise a refund merely because a correctly supplied result does not match a subjective preference.
We may change prices for future purchases. Completed purchases are charged at the agreed price. Any change affecting use of an existing paid balance must comply with the terms of that purchase and applicable law; a new pricing notice does not authorize an additional charge for an already completed transaction.
Buying credits does not enroll you in a subscription. If we introduce subscriptions, the applicable offer must specify the recurring price, billing frequency, renewal, and cancellation rules, and you must agree to recurring billing before it begins.
8. Cancellations and refunds
Except where applicable law requires otherwise, or a purchase offer or separate agreement expressly provides otherwise, completed purchases are non-refundable. This rule does not remove remedies for incorrectly charged, undelivered, or legally non-conforming Services.
Contact support@nativecut.io for billing errors, failed processing, complaints, or refund requests. Where a refund is due, it will be made through the original payment method where practicable. Credit restoration is not a substitute for a cash refund where law requires one.
Consumers retain mandatory cancellation, withdrawal, repair, price reduction, refund, and other rights. Any information and express requests or acknowledgments required to start performance during a withdrawal period must be provided separately in the purchase process. Accepting these Terms alone does not waive those rights.
9. Prohibited activities
You must not:
- infringe another person's intellectual property, privacy, publicity, or other legal rights;
- use the Services for fraud, unlawful impersonation, illegal content, or unauthorized disclosure of confidential information;
- introduce malicious code, interfere with infrastructure, or access accounts or data without authority;
- bypass payment, security, or usage controls, or abuse free allocations;
- reverse engineer or extract proprietary software or models except where applicable law permits it;
- use unauthorized automation or exceed limits of an interface we make available; or
- resell accounts or access without our agreement.
Lawful criticism, honest reviews, and authorized commercial use of Outputs are not prohibited by these Terms.
You must comply with applicable export and sanctions laws. NativeCut may restrict access as necessary to meet its own legal obligations. These Terms do not shift our statutory responsibilities to you.
10. Feedback and infringement reports
Feedback is voluntary. You grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate your product suggestions without payment or attribution. This license does not transfer ownership of reviews and does not cover customer films, Outputs, personal information, or confidential client materials included with a support request.
To report suspected infringement, email support@nativecut.io with your contact details, identification of the protected work and material at issue, its location in the Services if known, and the basis of your authority to report it. We may request further information and take appropriate action. This contact provision does not represent that NativeCut has registered a statutory copyright agent.
11. Third-party services
The Services depend on infrastructure, AI, and other external providers. Their operation may affect performance or availability. Our use of providers remains subject to commitments we make in these Terms and an applicable DPA.
If you independently choose to connect a third-party service or follow an external link, its own terms and privacy practices may apply. We do not grant rights to content controlled by those third parties.
12. AI limitations and availability
Outputs may contain translation errors, omissions, altered meaning, pronunciation problems, synchronization errors, visual artifacts, or other inaccuracies. Review results before publication, distribution, or reliance, including checking permissions and any required disclosures about synthetic media.
We do not guarantee uninterrupted access, successful processing of every input, a particular completion time, or suitability of every Output. Maintenance, capacity limits, technical faults, and external-provider issues may cause delays or interruption. These statements do not remove express purchase commitments or mandatory remedies for defective Services.
Standard support is available by email at support@nativecut.io. There is no guaranteed uptime percentage, support response time, or automatic downtime compensation unless separately agreed in writing. Individual experimental features may be identified as beta or preview without making the whole platform a beta service.
13. Storage and deletion
Unless a separate storage offer expressly states otherwise, uploaded source videos are automatically deleted 14 days after upload and generated video files are automatically deleted 14 days after generation. Earlier valid deletion requests and legally required retention may apply.
The video retention period applies even while your account remains open. Continued account access or retention of a project record does not extend a video's storage period. Keep your own original files and save the results you need before deletion. NativeCut does not currently back up uploaded or generated video files, so they cannot be restored from a NativeCut video backup after deletion. No video recovery service is included.
Account information, billing records, and project metadata are separate from video files and are not subject to the 14-day video deletion schedule. Their retention is governed by the Privacy Policy and applicable DPA.
To request account closure or deletion of your personal data or submitted material, email support@nativecut.io. We may request proportionate verification and will handle the request within applicable legal deadlines. Some records may need to be retained for legal obligations or other lawful exceptions, which we will explain where relevant.
If storage plans change, including through a future subscription offer, the applicable terms will be disclosed before they apply. This does not enroll you in a subscription or change current retention by itself.
Any retained personal data is handled under the Privacy Policy and applicable DPA. Your responsibility to keep copies does not excuse our own agreed or statutory obligations.
14. Suspension and termination
You may stop using the Services or contact support@nativecut.io to close your account. Properly incurred charges and applicable refund rights survive closure.
We may suspend or terminate access for material breach, non-payment, fraud, unlawful activity, security risks, or a legal requirement. We may act immediately where necessary to prevent harm or comply with law; otherwise we will provide notice and an appropriate opportunity to resolve a remediable issue.
We may discontinue the Services or end access for other legitimate business reasons on reasonable advance notice, subject to applicable law. Where practicable and legally permitted, we will provide an opportunity to retrieve material still held before planned closure. This does not extend the normal 14-day video retention period, so download needed results promptly rather than waiting for closure.
Voluntary account closure does not create an additional refund right. If we permanently discontinue paid processing without a breach by you and cannot honor your remaining purchased credits, we will refund the price paid for those unused credits. Other termination-related refunds follow the purchase terms and applicable law. Promotional credits have no cash refund value.
Ownership provisions, authorized feedback use, accrued payment and refund rights, confidentiality duties for retained material, liability provisions, and dispute provisions survive as necessary. Content processing ends in accordance with the agreed purposes, retention rules, and legal obligations.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT FOR EXPRESS COMMITMENTS IN THIS AGREEMENT OR A SEPARATE SIGNED AGREEMENT, NATIVECUT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
These disclaimers do not override mandatory guarantees, statutory duties, or consumer rights and do not excuse failure to perform an express commitment.
16. Limitation of liability
To the extent permitted by law, NativeCut and its personnel will not be liable to business users for indirect, consequential, incidental, special, exemplary, or punitive damages or for lost profits, revenue, business opportunities, or goodwill arising out of the Services or these Terms.
NativeCut's aggregate liability to a business user for claims arising out of the Services or these Terms will not exceed the amount that user paid NativeCut for the Services in the six months preceding the event giving rise to the claim. This aggregate limit applies across these Terms and an applicable DPA to the extent lawful, rather than providing a separate limit for each document.
These business-user limitations do not apply to consumers. They do not restrict liability that cannot lawfully be limited, obligations to provide refunds legally or contractually due, or rights and liabilities under mandatory data-transfer clauses where those clauses prohibit the restriction. A separately signed agreement may establish different limits. No general unlimited-liability exception for all confidentiality claims is created by these Terms.
17. Third-party claims
If you use the Services in business, you will defend NativeCut against third-party claims arising from Customer Content you lacked authority to submit or your unlawful use of the Services and reimburse reasonable defense costs, damages finally awarded, and settlements you approve. This does not apply to the extent the claim arises from NativeCut's breach or misconduct.
We will give prompt notice and reasonable cooperation and permit you to control the defense, while retaining the right to participate with our own counsel at our expense. No settlement may admit fault by NativeCut or impose non-monetary obligations on us without our written consent. Delay in notice relieves your obligation only to the extent it materially prejudices the defense.
18. Updates to the Services and these Terms
We may change the Services and these Terms for operational, technical, security, legal, or product-development reasons. Material contractual changes will be notified by email or a prominent account notice with reasonable advance notice and an effective date. Urgent legal or security changes may require shorter notice. We will obtain renewed acceptance where required by law.
Changes do not apply retroactively to an existing dispute or authorize new recurring payments or advertising use of Customer Content. Changes affecting paid access remain subject to applicable notice, termination, and remedy requirements.
19. Governing law and disputes
Delaware law governs these Terms, excluding its conflict-of-law rules. Business users and NativeCut submit to the exclusive jurisdiction of state and federal courts in Delaware.
Consumers retain mandatory protections and jurisdiction rights under otherwise applicable law, including applicable law of their habitual residence. Contacting support may help resolve a dispute but is not a prerequisite to exercising legal rights.
20. General provisions and contact
These Terms, applicable purchase terms, and any separate applicable agreement form the agreement for the Services. Failure to enforce a provision is not a waiver. If a provision is unenforceable, the remainder continues to the extent lawful. No employment, partnership, or agency relationship is created.
NativeCut may transfer this agreement in connection with a reorganization, merger, or transfer of the relevant business, provided that this does not reduce mandatory consumer rights and the successor assumes applicable obligations. You may not transfer your contractual rights without consent except where law permits it.
We may send contractual notices electronically to your account email or through the Services as appropriate. Keep your contact details current. This does not waive mandatory delivery or record-retention requirements.
